Terms of Use of the System

Welcome to PICMIZ ("the Service" or "the System"). Use of the Service, including uploading photos, videos, files and websites, storing them, backing them up and sending them to others, is subject to the following terms. Please read these terms carefully, as use of the System constitutes your full agreement to them.

1. Agreement to the Terms, and Age
Agreement: use of the site and of the services offered on it constitutes a declaration that you have read, understood and agree to be bound by these Terms of Use and by the site's Privacy Policy.
Use of the Service is permitted over the age of 18. If you are a minor, the approval of a legal guardian is required.

2. Description of the Service
The System provides a digital platform that allows users to:
Upload, store and manage media files (such as photos and videos).
Upload and display websites or visual content.
Create backups.
And send media to third parties by means of links or dedicated tools.

3. User Content and Grant of License
Ownership of content: all copyright and intellectual property rights in the content you upload to the System (photos, videos, websites) remain your exclusive property, and the Company will never make use of the content you uploaded to the site.
License to operate the Service: you grant the site operator a worldwide, irrevocable, royalty-free, non-exclusive license to display, store, back up, reproduce, distribute and transmit the content, so that we can provide you with the services you requested (including backup and sending media to recipients of your choice).

4. Legal Compliance and Prohibited Content
You undertake not to upload, store, back up or send through the System content of the following kinds:
Offensive or unlawful content: content that violates the laws of the State of Israel, including content that constitutes defamation, distribution of pornography (and in particular child pornography), or incitement to racism, violence or terrorism.
Infringement of copyright and intellectual property: content to which you do not hold the rights, or which you have no explicit permission from its owners to upload (under the Copyright Law, 5768-2007).
Invasion of privacy: content or photographs of private individuals taken without their consent in circumstances where there is a reasonable expectation of privacy (a violation of the Protection of Privacy Law, 5741-1981).
Malicious content: viruses, Trojan horses, spyware or any other malicious code that may harm the System or third parties.

5. Backup and Loss of Data
The System provides backup and storage services at a high level of availability, but does not undertake that the Service will be entirely immune to failures, breaches or sudden loss of data.

User responsibility: it is your responsibility to keep additional backup copies (local or otherwise) of the content that matters to you. The site operator will not be liable for any loss, deletion or damage to data uploaded to the System.

6. Privacy and Information Security
Use of the System is also subject to our Privacy Policy, which details how we collect information about you.
The System employs reasonable and customary information-security measures, but cannot guarantee absolute protection against breaches or unauthorized access by hostile parties.

7. Intellectual Property of the System
All of the design, source code, graphical interface, logos and technology of the System are the exclusive intellectual property of the site operator, and no commercial or other use may be made of them without prior written approval.

8. Limitation of Liability and Indemnification
The Service is provided "AS IS": the site operator will not be liable, directly or indirectly, for any damage (direct, indirect, consequential or special) caused to the user or to a third party as a result of use of the System, reliance on it, or the cessation of its operation.

Indemnification: you undertake to indemnify and compensate the site operator for any damage, loss, payment of expenses or attorney's fees incurred by it due to your breach of these Terms of Use, or due to a third-party claim relating to content you uploaded.

9. Changes to the Terms and Termination of the Service
The site operator reserves the right to update and change the Terms of Use from time to time, at its sole discretion.
Continued use of the System after the terms have been updated will constitute agreement to them.
The System may cease its operation, or block your access to the Service, at any time and without prior notice in the event of suspected breach of the terms or misuse.

10. Governing Law and Jurisdiction
These Terms of Use shall be governed exclusively by the laws of the State of Israel.
Exclusive jurisdiction over any dispute arising from these terms or from use of the Service is vested in the competent courts of Israel.

11. Email Messages from the Service
Service messages: by opening an account you agree that we will send to the email address you provided the messages required to operate the Service, such as account verification, password reset, security alerts, and notices about galleries, deliveries and billing. These messages are part of the Service.
Updates and offers: subject to Section 30A of the Communications Law (Telecommunications and Broadcasting), 5742-1982, we may also send you, to the same address, updates about new features, tips and offers relating to the Service. You may decline these messages at any time, free of charge, through the removal link that appears in every such message or in the notification settings in your personal area, and we will stop sending them within the time prescribed by law.
Nothing is sent on your behalf: the Service does not send marketing messages to your clients or to recipients of files you share; the messages they receive are only the operational messages needed to deliver what you sent them.
